Officers

The Officers of the Chapter will be comprised of a President, President Elect, Secretary, and Treasurer. The offices of Secretary and Treasurer may be held by the same person. In addition to the generalized duties and responsibilities detailed below, Officers may be tasked to assume responsibilities and complete duties as detailed in job descriptions approved by the Board and published separately from these Bylaws.  

Eligibility: Subject to the provisions of Article IV, as it relates to defining membership in the Chapter and ICF-PC, individuals eligible to serve as an Officer shall be members in good standing of the ICF-PC and the Chapter.  

Directors

The Directors of the Chapter will be comprised of one or more of the Director positions detailed below or as determined by a vote of the Board, based on the Chapter’s needs at any given time. The Board may authorize, by vote, a single person to hold no more than two Director positions at any given time. In addition to the generalized duties and responsibilities detailed below, Directors may be tasked to assume responsibilities and complete duties as detailed in job descriptions approved by the Board and published separately from these Bylaws. The President may delegate any officer’s duties to any other member of the Board when deemed such action is appropriate. 

Eligibility: Subject to the provisions of Article IV, as it relates to defining membership in the Chapter and ICF-PC, individuals eligible to serve as a Director shall be members in good standing of the ICF-PC and the Chapter.  


PRESIDENT- (Officer)

The President is the chief elected officer of Chapter and shall preside at all meetings of the Chapter membership and Board of Directors and shall perform all duties assigned under these Bylaws, specified in the Chapter Policies and Procedures Handbook, or assigned to this person by the Board of Directors.

President Role & Responsibilities:

  • Acts as the primary liaison with ICF Global.Ensures that the membership and the Executive are informed about, and current on, ICF Global initiatives.
  • Prepares Board Agenda for and facilitates monthly Board meetings with member input.
  • Represents Chapter at Regional and International Leadership Forums.
  • Sets overall Board direction to enable priority Chapter Activities, scope and boundaries.
  • Welcomes new Chapter members .
  • Acts as primary contact with other members of the Executive team and support them, when needed, as they fulfill their portfolio duties.
  • Chairs all ICF-SA Chapter events including, special events, monthly executive meetings and the annual general meeting.
  • Maintains contact with our members through President’s messages and other communication as required.
  • Represents the Chapter in the larger community and act as chapter spokesperson with the media and other organizations.
  • Spearheads the succession planning process and sustainability of the Chapter’s leadership.
  • Contributes to a chapter annual report and Chapter Activity Report to Global ICF.
  • Assists the President Elect and nominating committee in identifying and recruiting other Board Members

    PRESIDENT-ELECT- (Officer)

    In the absence of the President, the President Elect shall preside at meetings of the Chapter membership and Board. The President Elect shall perform all duties assigned under these Bylaws, specified in the Chapter Policies and Procedures Handbook, or assigned to this person by the Board of Directors.

    President-Elect Role & Responsibilities:

    • Become familiar with the obligations and duties of the President.
    • In lieu of the President, represent the President at ICF San Antonio events and meetings.
    • Hold the overview/big picture with the President of what's going on with ICF San Antonio, the Board, and the membership.
    • Stay abreast of new information, emerging trends, vision, strategic objectives of ICF Global and updates the board on critical areas of interest to the members.
    • Partner with the President on strategy, visioning, and brainstorming.
    • Actively support fulfillment of short-term goals and the long-term strategic plan, providing backup and ensuring follow-through.
    • Solicit input and create agenda for each board meeting.
    • Attend functions, including chapter luncheon, workshops, socials and special events within the chapter, in the region, and sponsored by ICF-Global.
    • Complete assignments delegated to the President-Elect, such as: 
    • Leading ad hoc committees.
    • Supporting the board committees.
    • Actively participate in board meetings, annual Board planning retreat and annual meeting
    • Review Board meeting materials before the meeting.
    • Remain up to date with the Policies & Procedures Manual and the Bylaws, and guide revisions as the board grows and evolves.
    • Attend monthly board meetings and other related meetings (e.g. strategic planning) as necessary.
    • Complete other duties as they arise.

    Minimum Qualifications:
    • Be a member in good standing of the International Coach Federation.
    • Have an ICF credential (PCC or higher).

    TREASURER- (Officer)
    The Treasurer shall submit all annual financial statements, audits, and reports to the Board of Directors and in general perform all duties incident to the office of Treasurer and shall perform all duties assigned under these Bylaws, specified in the Chapter Policies and Procedures Handbook, or assigned to this person by the Board of Directors. The Treasurer may be assisted by an Assistant Treasurer assigned by the Board.

            Treasurer Role & Responsibilities

            • Attend monthly board meetings.
            • Lead the board-wide annual budgeting discussion at the start of each fiscal year 
            • Maintain the chapter’s financial records. 
            • Pay all chapter vendors and service providers, including member expense reimbursements, with the close involvement and approvals of board member(s) responsible for the expenditure.  This also includes ongoing fees for technology and other online services (for example, QuickBooks Online, Zoom Communications, etc.).
            • Ensure protocol is followed in securing IRS W9 forms where necessary, and mailing IRS 1099 forms as appropriate once per year.
            • Be present, or delegate responsibility, for “at the door” registration payments at ICF San Antonio events.
            • Contract with tax accountant, and support with appropriate documentation, to file annual IRS requirements.
            • File required updates around first of each year with state and federal governmental entities (e.g. tax exempt status filing with state).

            SECRETARY- (Officer)

            The Secretary shall keep the minutes of the Chapter’s Board of Directors meetings; see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law; and in general, shall perform all duties assigned under these Bylaws, specified in the Chapter Policies and Procedures Handbook, or assigned to this person by the Board of Directors. The Secretary may be assisted by an Assistant Secretary assigned by the Board.

            Secretary Role & Responsibilities:

            • Capture minutes for all official ICF San Antonio board meetings, facilitate board member review and approval within 14 days of meeting. Then post the final revised and approved notes on board Google Drive.
            • Attend all chapter board meetings. If unable to attend, arrange for coverage of note-taking function for meeting minutes.
            • Serve as the signing officer. This designation gives her/him  the authority to sign documents, such as contracts, checks and credit applications, on behalf of the organization. 
            • Maintain record of attendees to events in Constant Contact.
            • File continuing education programs with ICF for credits.
            • Issue certificates for the CEU’s to the participants.
            • Help with organizing and planning ICF San Antonio events.
            • Monitor the chapter’s virtual mailbox service for physical mail.
            • Provide new officer roster to ICF Global each March.
            • Facilitate annual update signatories for chapter’s  bank account each March, adding new officers who are to spend funds from account. 
            • Compile, edit and submit ICF Chapter Annual Activity Report to ICF Global, typically early in the 4th quarter each year.
            • Maintain chapter’s Google Drive folders and files in an orderly fashion. 

            Minimum Qualifications:

            DIRECTOR OF DEVELOPMENT

                The Director of Development is responsible for developing an annual education plan for the Chapter as well as overseeing the researching and booking of speakers for meetings based on topics that satisfy ICF guidelines related to developing coaching competencies or other topics deemed by the Board to be in the interests of Members. The Director of Development is also responsible for overseeing the conceiving, securing and executing of special events including networking events and conferences for the Chapter that  are beyond the regular meetings. 

                Director of Development Role & Responsibilities:

                • Develop a strategic plan for the chapter’s alliances based on chapter values, mission, and priorities for the year, in consultation with the board.
                • Attend monthly board meetings, (no less than 80%) and proactively communicate with BOD.
                • Plan diverse programs for ICF San Antonio monthly events, designed to provide personal and professional development opportunities for members.  
                • Source guest speakers and ensure that speakers deliver value and uphold the profession of coaching.
                • Autonomy to recruit and engage a Programs Team to help with finding speakers, topics and logistics.
                • Meet with the Programs Team to plan and execute monthly educational events.
                • Coordinate and execute program plan along with the support of BOD and virtual assistant, including marketing, logistics, speaker needs, and attendee needs (i.e. materials, technology needs, gift, etc.)
                • Encourage member engagement through regular personal communications, providing easy ways to volunteer, encouragement, and identify opportunities to utilize their strengths.
                • Oversee the event activities with the virtual assistant and interns to ensure marketing is completed, logistics are set up and operational, ICF CCEU’s are properly delivered, and events run smoothly.
                • Attend all in-person and virtual events and engage with members
                • Ensure that all logistics are executed for meetings, including:
                  • Handouts for attendees
                  • Coordinate the venue to communicate headcount and AV needs, 
                  • Coordinate communication activities, such as newsletter copy or website text, with the Director of Communication
                  • Communicate with the speaker on their needs
                  • Evaluations of the meeting and gathering feedback

                            DIRECTOR OF MEMBERSHIP

                            The Director of Membership provides direction and leadership for the Chapter’s membership program to maintain and increase ICF membership. The Director of Membership manages and supervises chapter membership efforts including recruitment, member retention, and member recognition and scholarship programs.

                            Director of Member Roles and Responsibilities:

                            • Create an annual strategy around member retention and member enrollment.
                            • Communicate monthly reporting around membership progress.
                            • Announce new members and new member credentials for recognition to the community.
                            • Set up, oversee, and manage a Welcome Committee, including meet and greet at Chapter events and calling each new member to welcome them to ICF San Antonio.
                            • Engage with member inquiries and comments.
                            • Be the ambassador at our ICF San Antonio events.
                            • Engage all levels of members and create value to continue their membership and or renew.
                            • Attend monthly board meetings and other related meetings (e.g. strategic planning) as necessary.

                              Minimum Qualifications:

                                DIRECTOR OF MARKETING

                                The Director of Marketing is responsible for maintaining an overall marketing and communications plan for the Chapter and identifying key messages and strategies and delivering those messages to members, the business community, and the general public. The Director of Marketing is responsible for managing the publications, marketing, advertising, public relations and advocacy efforts.

                                Director of Marketing Roles and Responsibilities:

                                • Develop strategies to promote ICF San Antonio events including: monthly learning events; campaigns to promote professional coaching to external organizations and to the public; annual membership drives and special events including coaching week. 
                                • Write and distribute newsletters and announcements which excite participation in the Chapter and drive event attendance.
                                • Update the website and respond to member inquiries. 
                                • Manage social media; Facebook, LinkedIn, Instagram and Twitter accounts. 
                                • Manage the underlying systems that keep the Chapter’s membership list up to date in a central spreadsheet and on the website and email service.
                                • Maintain a list of non-members who ask to receive messaging from ICF San Antonio to  ensure that this list is in compliance with anti-spam legislation.
                                • Attend monthly board meetings and other related meetings (e.g. strategic planning) as necessary.

                                    DIRECTOR OF PARTNERSHIPS 

                                    The Director of Partnerships is responsible for developing and implementing an external relations strategy that meets the needs of the Chapter and aligns with the ICF mission. The Director of Partnerships connects with, presents at, and builds relationships with outside organizations, business leaders, and associations to bring greater attention to the work of the chapter and to the coaching profession.

                                    Director of Partnerships Role and Responsibilities:

                                    • At the board’s direction, prioritize and deploy key relationships such as:
                                      • Nonprofit and governmental organizations and agencies where members can provide pro bono coaching, especially for projects connected to International Coaching Week. 
                                      • Professional associations and business organizations such as SAHRMA, ATD chapters, and chambers of commerce. 
                                      • Local government and school districts. 
                                      • Partnerships with local businesses. 
                                      • Relationships with other ICF chapters and the ICF Southeast Regional Advisory Council of chapter leaders. 
                                      • Recruit and support representatives to act as liaison with each agency, organization, or business in the strategic plan. Representatives could be:
                                      • Coordinator for pro bono coaching initiatives
                                      • Lead contact for each professional association
                                      • Coordinator of business outreach
                                      • Secure sponsorship and support efforts to solicit sponsorship for chapter events.
                                      • Attend chapter functions regularly and act as chapter representative in interactions with members and guests.
                                      • Attend monthly board meetings.

                                                    DIRECTOR OF CREDENTIALING

                                                    The Director of Credentialing Support is responsible for creating and administering a credential awareness campaign for the chapter, supporting new candidates through the credentialing process, and recruiting students through coaching education providers.
